MoneyMate Vault Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MoneyMate Vault ("we", "us", or "our") concerning your access to and use of the MoneyMate Vault desktop application, our official website (janindu98.github.io/moneymate-website/), and any associated documentation or services.

By downloading, installing, acquiring from the Microsoft Store, or using MoneyMate Vault, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and our Privacy Policy. If you do not agree with all of these Terms, you are expressly prohibited from using the software and must uninstall and discontinue all use immediately.

2. Description of Application & Offline Architecture

MoneyMate Vault is a Windows desktop application for managing personal finances, tracking income and expenses, organizing bank accounts and salary records, generating financial reports, and creating encrypted local and Google Drive backups of your financial data.

The software is engineered with an offline-first, client-side architecture:

• Local Data Processing: All calculations, ledger updates, salary breakdowns, and reporting occur directly on your Windows PC.
• No Developer Server: MoneyMate Vault does not operate remote backend database servers or require central user account registration to manage your ledgers.
• Device Independence: Your application operates continuously without requiring active internet connectivity for core ledger management.

3. Software License & Microsoft Store Distribution

MoneyMate Vault is distributed primarily through the official Microsoft Store. Subject to your compliance with these Terms:

• License Grant: We grant you a revocable, non-exclusive, non-transferable, limited license to install and use MoneyMate Vault on Windows 10 or Windows 11 devices linked to your Microsoft account, solely for your personal, non-commercial bookkeeping purposes.
• In-App Purchases & Subscriptions: Any upgrade to MoneyMate Vault Pro or premium add-ons is processed directly through Microsoft Store in-app purchase infrastructure (Windows.Services.Store). All billing, currency conversion, taxes, and payment processing are handled securely by Microsoft Corporation under Microsoft Store terms.
• Restrictions: You may not rent, lease, lend, sublicense, redistribute, copy, modify, decompile, reverse engineer, or create derivative works of the MoneyMate Vault binary application, except to the extent permitted by applicable law.

4. User Data Ownership & Local Storage Responsibility

We believe you should have complete autonomy over your personal financial data:

Because MoneyMate Vault operates offline on your PC without a central cloud database:

• Backup Custodianship: You are solely responsible for creating and maintaining backups of your financial database (database.json / .enc backup archives).
• Password & PIN Security: If you protect your vault with a PIN or master passphrase, you are responsible for remembering your credentials. Because of local client-side encryption, we cannot recover or reset forgotten encryption keys on your behalf.
• Device Security: You are responsible for maintaining the physical and logical security of your Windows computer (including antivirus protection and operating system updates).

5. Secure Cloud Backup & Google Drive Integration

MoneyMate Vault provides optional cloud backup capabilities designed to safeguard your financial ledger against hardware failure or device loss:

When utilizing cloud backup functionality, you agree to the following terms:

1. Client-Side Encryption: All financial entries are converted into an encrypted .enc file using AES cryptography on your local machine before being uploaded. No unencrypted financial data is transmitted.
2. User-Controlled Account: Cloud backups are stored directly inside your own Google Drive storage account under your account credentials. MoneyMate Vault developers have no access to your Google account, authentication tokens, or stored files.
3. Third-Party Cloud Terms: Your use of Google Drive is subject to the Google Terms of Service and Google Privacy Policy. We are not responsible for service interruptions, storage quotas, or policies imposed by Google LLC.
4. On-Demand Transmission: Backups and restores occur only when you explicitly initiate them within the application settings.

6. Acceptable Use Policy

You agree to use MoneyMate Vault only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the application in any way that violates any applicable national, regional, or international law or regulation.
• Attempt to bypass, disable, circumvent, or interfere with security features of the software, PIN vault locks, or Microsoft Store license verification mechanisms.
• Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful materials to the application environment.
• Redistribute, repackage, or resell the application binary without explicit written permission from the copyright holders.

7. Intellectual Property Rights

The MoneyMate Vault application, including its source code, architecture, visual interfaces, graphics, icons, logos, audio-visual components, and software design tokens, are the exclusive intellectual property of MoneyMate Vault and its developers, protected by international copyright, trademark, and other proprietary laws.

Microsoft, Windows, and the Microsoft Store logo are trademarks of Microsoft Corporation. Google Drive and the Google logo are trademarks of Google LLC. All other trademarks are the property of their respective owners.

8. Financial & Tax Disclaimers (Non-Advisory)

You explicitly acknowledge and agree that:

• MoneyMate Vault is not a registered investment advisor, certified public accountant (CPA), financial planner, or tax advisory service.
• Calculations, statutory deductions, tax estimates, and currency conversions generated by the software are based upon the formulas and inputs you configure and may not reflect specific changes in tax legislation or banking rules in your jurisdiction.
• You should consult a qualified accountant, certified financial advisor, or legal counsel for professional advice regarding your tax liabilities, salary statutory compliance, or investment decisions.

9. Disclaimer of Warranties & Limitation of Liability

MONEYMATE VAULT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONEYMATE VAULT, ITS DEVELOPERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF FINANCIAL DATA, BUSINESS INTERRUPTION, COMPUTER FAILURE, OR CORRUPTION OF FILES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APPLICATION EXCEED THE AMOUNT PAID BY YOU FOR THE MONEYMATE VAULT APPLICATION LICENSE THROUGH THE MICROSOFT STORE IN THE PRECEDING TWELVE (12) MONTHS.

10. Termination & Refund Policies

These Terms remain in full effect while you use MoneyMate Vault. You may terminate your agreement at any time by uninstalling the application and ceasing all use.

• Termination by Us: We reserve the right to revoke your license and suspend access if you violate any provision of these Terms or engage in unauthorized distribution.
• Microsoft Store Refunds: All refund requests for purchases or subscriptions made via the Microsoft Store are governed exclusively by Microsoft Store refund policies and must be initiated through your Microsoft Account Services Dashboard.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable to consumer software agreements, without giving effect to any conflict of law principles. Any dispute arising out of or relating to these Terms or the application shall first be submitted to good-faith informal negotiation between the parties.

12. Modifications to Terms of Service

We reserve the right to revise or update these Terms from time to time to reflect changes in our software, legal requirements, or Microsoft Store and Google API guidelines. When updates are published, the revised "Effective Date" at the top of this document will be updated. Continued use of MoneyMate Vault after the posting of revised Terms constitutes your acceptance of the changes.
